What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, Learningrx has the right to approve all franchise transfers, but will not unreasonably withhold approval. For a transfer to be approved, several conditions must be met. These conditions differ slightly based on whether the franchisee is an Area Developer or a standard franchisee.
For a standard Learningrx franchisee, the conditions for approval include ensuring the new franchisee meets Learningrx's qualifications, paying a transfer fee and a training and materials fee, securing approval of the purchase agreement, arranging for the new franchisee's training, obtaining a general release signed by the current franchisee, and ensuring the new franchisee signs the current franchise agreement.
For an Area Developer, the conditions include ensuring the new Area Developer qualifies, satisfying all monetary obligations to Learningrx, ensuring the Area Developer Agreement (ADA) is not in default of any agreement, paying a transfer fee, securing approval of the purchase agreement, arranging training for the new Area Developer, obtaining a general release signed by the current Area Developer, and ensuring the new Area Developer signs the current agreement. These conditions ensure that any new franchisee or area developer is properly vetted and trained, and that Learningrx's financial interests are protected during the transfer process.
