What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the franchisor has the right to approve all franchise transfers, but will not unreasonably withhold approval.
For a Learningrx franchise agreement, the conditions for approval include ensuring the new franchisee meets Learningrx's qualifications, payment of a transfer fee and a training and materials fee, approval of the purchase agreement, arrangement of training for the new franchisee, a general release signed by the current franchisee, and the new franchisee signing the current franchise agreement.
For an Area Developer Agreement, the conditions for approval include ensuring the new area developer qualifies, all monetary obligations are satisfied, the ADA is not in default of any agreement, a transfer fee is paid, the purchase agreement is approved, training is arranged, a general release is signed by the current area developer, and the current agreement is signed by the new franchisee. Prospective franchisees should carefully review Sections 7.03 and 14.04 of the Area Developer Agreement and Franchise Agreement, respectively, for a comprehensive understanding of the transfer conditions and potential implications.
