Under what conditions can Learningrx accelerate the Development Schedule for an Area Developer?

- 6.01. Conditions for Default. Area Developer shall be in default under this Agreement should Area Developer:
- A. fail to comply with the Development Schedule;
- B. fail to perform any of its obligations under this Agreement or any individual franchise agreement;
- C. cease to be a franchisee of Franchisor in good standing; or
- D. fail to comply with the provisions on transfer contained in this Agreement.
- 6.02. Termination Rights. Upon such default, Franchisor shall have the right, at its option, and in its sole discretion, to do any or all of the following:
- A. terminate this Agreement;
- B. terminate the territorial exclusivity granted to Area Developer;
- C. reduce the size of the Area Developer's Development Territory or the number of Centers Area Developer may develop in the Development Territory; or
- D. accelerate the Development Schedule on immediate written notice.

What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, Learningrx has the right to accelerate the Development Schedule for an Area Developer with immediate written notice if the Area Developer defaults under the Area Development Agreement.
Specifically, an Area Developer is considered in default if they fail to comply with the Development Schedule, fail to perform any of their obligations under the Area Development Agreement or any individual franchise agreement, cease to be a franchisee of Learningrx in good standing, or fail to comply with the provisions on transfer contained in the Area Development Agreement.
This provision in the agreement allows Learningrx to ensure that Area Developers are actively developing their territories according to the agreed-upon schedule and meeting their contractual obligations. If an Area Developer falls behind or fails to meet the required standards, Learningrx can take action to expedite the development process, potentially by requiring the Area Developer to open more centers in a shorter timeframe. This protects Learningrx's interests by ensuring that the brand expands as planned and that customers have access to Learningrx services in the designated area.
