Under the Learningrx agreement, what constitutes 'Reasonable Business Judgment' on the part of the Franchisor?

Whenever Franchisor reserves discretion in a particular area or where Franchisor agrees to exercise Franchisor's rights reasonably or in good faith, Franchisor will satisfy Franchisor's obligations whenever Franchisor exercise Reasonable Business Judgment in making Franchisor's decision or exercising Franchisor's rights.
Franchisor's decisions or actions will be deemed to be the result of Reasonable Business Judgment, even if other reasonable or even arguably preferable alternatives are available, if Franchisor's decision or action is intended, in whole or significant part, to promote or benefit the System generally even if the decision or action also promotes Franchisor's financial or other individual interest.
Examples of items that will promote or benefit the System include, without limitation, enhancing the value of the Marks, improving customer service and satisfaction, improving product quality, improving uniformity, enhancing or encouraging modernization and improving the competitive position of the System.

According to the 2025 Learningrx Franchise Disclosure Document, the franchisor exercises 'Reasonable Business Judgment' when making decisions or exercising rights with discretion. Learningrx will have met its obligations if it exercises Reasonable Business Judgment in its decisions.
Even if other reasonable or preferable options exist, Learningrx's decisions or actions are considered the result of Reasonable Business Judgment if they are intended to promote or benefit the Learningrx system, even if the decision also benefits Learningrx's financial or other individual interests. This means that Learningrx can make decisions that benefit both the overall franchise system and its own bottom line, as long as the primary intention is to improve the system.
Examples of actions that promote or benefit the Learningrx system include enhancing the value of the Learningrx marks, improving customer service and satisfaction, improving product quality, improving uniformity across franchises, encouraging modernization, and improving the competitive position of the Learningrx system in the market. These examples provide some clarity for franchisees about the types of decisions Learningrx can make while still acting within the bounds of 'Reasonable Business Judgment'.
