What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, a franchisee is not required to pay a transfer fee if they transfer their Learningrx center to their child, parent, sibling, or spouse, provided that the franchisor approves the transfer.

In general, if a Learningrx franchisee transfers their center to another Learningrx franchisee, the transfer fee is $5,000. However, in all other cases, the transfer fee is $10,000, which includes initial training at the franchisor's office, onsite training, advanced consultation training onsite/grand opening, and legal fees.

It is important to note that the area developer and its principals remain liable for all obligations to Learningrx in connection with the centers prior to the transfer date. They also remain responsible for nondisclosure, noncompetition, and indemnification obligations as outlined in the franchise agreements and guaranty.
