Our Operations Manual, electronic information and communications, sales and promotional materials, the development and use of our System, standards, specifications, policies, procedures, information, concepts and systems on, knowledge of and experience in the development, operation and franchising of LearningRx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at LearningRx Centers, information concerning product and service sales, operating results, financial performance and other financial data of LearningRx Centers and other related materials are proprietary and confidential ("Confidential Information") and are considered to be our property to be used by you only as described in the Franchise Agreement or the Operations Manual. Where appropriate, certain information has also been identified as trade secrets ("Trade Secrets"). You must maintain the confidentiality of our Confidential Information and Trade Secrets and adopt reasonable procedures to prevent unauthorized disclosure of our Trade Secrets and Confidential Information.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the training and techniques used to provide services at Learningrx Centers are considered Confidential Information. The FDD specifies that Learningrx's Operations Manual, electronic information and communications, sales and promotional materials, the development and use of their system, standards, specifications, policies, procedures, information, concepts and systems, knowledge and experience in the development, operation and franchising of Learningrx Centers, formulations for and packaging of products, training and techniques used to provide services sold at Learningrx Centers, information concerning product and service sales, operating results, financial performance and other financial data of Learningrx Centers and other related materials are proprietary and confidential. This information is considered Learningrx's property and can only be used as described in the Franchise Agreement or the Operations Manual. Some of this information may also be identified as trade secrets.
As a Learningrx franchisee, you are obligated to maintain the confidentiality of this information and implement reasonable procedures to prevent unauthorized disclosure. This obligation extends to your owners and employees, who must also sign a confidentiality agreement. This means you cannot reveal any of Learningrx's confidential information to another person or use it for any other person or business, even after the franchise agreement expires or is terminated.
Learningrx takes measures to protect its confidential information and trade secrets. Franchisees must notify Learningrx within three days if they become aware of any unauthorized use of their copyrighted works, confidential information, or trade secrets. Learningrx will then take action to protect its rights, but is not required to take affirmative action. Franchisees are prohibited from contesting Learningrx's rights to its copyrighted works, confidential information, or trade secrets and must cooperate in any legal proceedings to protect these interests.
