Are there any restrictions on the individuals to whom a Learningrx franchisee may sell?

Learningrx Franchise · 2025 FDD

Answer from 2025 FDD Document

You are not restricted as to individuals to whom you may sell, provided they are located in your Territory. However, we reserve the right to sell similar products, except products provided "trainer to student," to retail locations such as stores, shops, kiosks, malls, airports, and college campuses, at special events, and other channels of distribution such as television, mail order, catalog sales, wholesale sale to unrelated retail outlets, or over the Internet.

What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, a franchisee is generally not restricted in selling to individuals within their designated territory. However, Learningrx retains the right to sell similar products, excluding those provided directly from trainer to student, through alternative channels such as retail locations, stores, shops, kiosks, malls, airports, college campuses, special events, television, mail order, catalog sales, wholesale to unrelated retail outlets, or over the Internet. This means that while a franchisee can sell to individuals within their territory, Learningrx can also market and sell similar products through various other channels, potentially creating competition.

This reservation of rights allows Learningrx to tap into broader markets and utilize diverse distribution methods, which could impact a franchisee's potential customer base. The franchisee is limited to selling within their territory, while Learningrx can pursue sales through online platforms, retail partnerships, and other avenues, both within and outside the franchisee's territory. This dual approach to sales and distribution is intended to enhance the brand's overall market presence and reach a wider audience.

Prospective franchisees should be aware of these potential competitive dynamics and consider how Learningrx's alternative distribution channels might affect their business. While franchisees have exclusive rights within their territory for direct, trainer-to-student services, Learningrx's ability to sell through other channels could influence market share and revenue potential. Franchisees should discuss with Learningrx how these alternative channels are managed and how they can effectively compete within their territory given these broader sales strategies.
