Are there any pending proceedings regarding Learningrx's Copyrighted Works?

According to Learningrx's 2025 Franchise Disclosure Document, there are no pending proceedings regarding their Copyrighted Works. The FDD states that there are no effective determinations by the United States Copyright Office or any court regarding any Copyrighted Works of Learningrx. Additionally, there are no pending proceedings, nor are there any currently effective agreements between Learningrx and third parties pertaining to the Copyrighted Works that will or may significantly limit a franchisee's use of Learningrx's Copyrighted Works. This indicates that Learningrx is not currently involved in any legal disputes or agreements that could restrict a franchisee's ability to use their copyrighted materials.

Learningrx protects its proprietary information, including the Operations Manual, advertising materials, and product content, through copyright and other laws. While Learningrx has not filed for copyright registration for all of these items, they claim common law and federal copyrights. Franchisees are granted the right to use this copyrighted information in connection with their Learningrx Center's operation, but the copyrights remain the sole property of Learningrx. This means that while franchisees can utilize these materials, they do not own them and must adhere to the guidelines set forth in the Franchise Agreement and Operations Manual.

Prospective franchisees should be aware that they must notify Learningrx within three days if they become aware of any unauthorized use of similar language, images, or recordings that resemble Learningrx's Copyrighted Works, Confidential Information, or Trade Secrets. Franchisees must also inform Learningrx if someone challenges their use of these protected items. Learningrx will then decide on the appropriate action to protect their rights, which may include legal action. However, Learningrx is not obligated to take action in response to every potential infringement or challenge. Franchisees are prohibited from contesting Learningrx's rights to their Copyrighted Works, Confidential Information, or Trade Secrets and must cooperate with Learningrx in any legal proceedings to protect these assets.
