What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, there are no currently effective agreements that limit Learningrx's right to use or license its trademarks. However, Learningrx's parent company, LearningRx, Inc., owns the trademarks and system and licenses them to Learningrx and its affiliates. This license is a non-exclusive Intellectual Property License that extends for a one-year period, commencing June 23, 2011, and automatically renews for subsequent one-year periods, provided Learningrx is not in default or does not materially breach the Intellectual Property License by engaging in any activity which damages the Marks or the goodwill of the System.

Learningrx grants franchisees the non-exclusive right to use their marks, including names like "LEARNINGRX," "THINKRX," "MATHRX," "LIFTOFF," "COMPREHENDRX", "BRAINSKILLS," "BRAIN CAMP," and "READRX". Franchisees may also use other current or future marks as designated by Learningrx to operate their business.

It is important for a prospective franchisee to understand that while Learningrx states there are no agreements limiting their right to use or license the trademarks, their rights are derived from a license with their parent company. The continuation of this license is subject to certain conditions, and any issues with the parent company's ownership or licensing could impact the franchisee's ability to use the trademarks. A prospective franchisee should inquire about the terms and conditions of the Intellectual Property License between Learningrx and LearningRx, Inc. to fully understand the potential risks and implications.
