- Term. The term of this Addendum will begin on the date this Addendum is executed ("Execution Date") and, unless it is terminated earlier according to this Addendum, will expire at midnight on the three hundred, sixty-fifth (365th) day after the Execution Date ("Initial Term").

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the term of the Satellite Location Addendum begins on the date the addendum is executed, referred to as the "Execution Date." Unless terminated earlier, the addendum will expire at midnight on the 365th day after the Execution Date, which is considered the "Initial Term."
This means that a Learningrx franchisee's rights and obligations under the Satellite Location Addendum, such as the right to operate a satellite location and the obligation to pay royalties on its revenue, commence as soon as the addendum is signed. The franchisee can expect the addendum to last for one year from the execution date, unless Learningrx terminates it earlier.
It is important to note that Learningrx is under no obligation to renew the addendum after the Initial Term, and the franchisee has no unilateral right to renew it. If Learningrx elects to grant a Successor Term, the franchisee must pay an additional Satellite Location Fee before the first day of that Successor Term. This lack of guaranteed renewal adds a layer of risk for the franchisee, as they may need to shut down the satellite location after the initial term if Learningrx does not offer a renewal.
