What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, the Spousal and Domestic Partner Guaranty and Assumption of Obligations is located in ATTACHMENT V(b) TO FRANCHISE AGREEMENT. This agreement requires the spouse or domestic partner of a Learningrx franchisee to guarantee the franchisee's performance of the Franchise Agreement.
This means that the spouse or domestic partner is personally liable for the franchisee's obligations under the agreement, including monetary obligations and obligations to take or refrain from specific actions. This is a common practice in franchising, as it provides the franchisor with additional security that the franchisee will fulfill their obligations.
However, the document also states that a widowed spouse or domestic partner who does not have an ownership interest in the Learningrx franchise will not be held responsible for any monetary obligations arising after they become widowed, unless they acquire an ownership interest. Despite this exception, any non-monetary obligations of the agreement will remain an obligation of the surviving spouse. This ensures that Learningrx can continue to enforce the terms of the Franchise Agreement even in the event of the franchisee's death.
