What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, sales and promotional materials are considered confidential information. This means that these materials are proprietary to Learningrx and are protected under the franchise agreement. A franchisee is restricted from revealing this confidential information to others or using it for any purpose outside the scope of their Learningrx franchise.
Specifically, Learningrx includes in its confidential information its methods of advertising and promotion. This extends to the Operations Manual, electronic information and communications, the development and use of Learningrx's system, standards, specifications, policies, procedures, information, concepts and systems, knowledge of and experience in the development, operation and franchising of Learningrx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at Learningrx Centers, information concerning product and service sales, operating results, financial performance and other financial data of Learningrx Centers and other related materials.
As a franchisee, you must maintain the confidentiality of this information and implement reasonable procedures to prevent unauthorized disclosure. This obligation extends beyond the term of the franchise agreement. All individuals affiliated with the franchisee must sign a Confidentiality and Covenant Not to Compete Agreement, reinforcing the importance of protecting Learningrx's proprietary information. This ensures that the Learningrx system and brand are protected from misuse or unauthorized replication.
