Our Operations Manual, electronic information and communications, sales and promotional materials, the development and use of our System, standards, specifications, policies, procedures, information, concepts and systems on, knowledge of and experience in the development, operation and franchising of LearningRx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at LearningRx Centers, information concerning product and service sales, operating results, financial performance and other financial data of LearningRx Centers and other related materials are proprietary and confidential ("Confidential Information") and are considered to be our property to be used by you only as described in the Franchise Agreement or the Operations Manual. Where appropriate, certain information has also been identified as trade secrets ("Trade Secrets"). You must maintain the confidentiality of our Confidential Information and Trade Secrets and adopt reasonable procedures to prevent unauthorized disclosure of our Trade Secrets and Confidential Information.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, confidential information includes the Operations Manual, electronic information and communications, sales and promotional materials, the development and use of their system, standards, specifications, policies, procedures, information, concepts and systems, knowledge of and experience in the development, operation and franchising of Learningrx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at Learningrx Centers. It also includes information concerning product and service sales, operating results, financial performance and other financial data of Learningrx Centers and other related materials.
This means that as a Learningrx franchisee, you will have access to a wide range of proprietary information that is critical to operating your center. This information is considered confidential and must be protected to maintain Learningrx's competitive advantage. Franchisees are obligated to maintain the confidentiality of this information and adopt reasonable procedures to prevent unauthorized disclosure.
Learningrx considers this information its property, to be used by franchisees only as described in the Franchise Agreement or the Operations Manual. Some of this information may also be identified as trade secrets, requiring an even higher level of protection. Franchisees must be vigilant in safeguarding this confidential information and trade secrets to avoid potential legal repercussions and maintain the integrity of the Learningrx system.
The FDD also lists specific copyrighted works, some of which are in electronic file format, such as "The Purpose Directed Business", "THINKRX Cognitive Training Procedures Workbook", "READRX Student Manual", and the "LearningRx.com website". These are protected by copyright and franchisees are granted the right to use them in connection with their Learningrx Center, but the copyrights remain Learningrx's sole property.
