Who selects the members of the Learningrx Franchisee Advisory Board?

We have the power to create a Franchisee Advisory Board that can be changed, dissolved or merged in our discretion. We have formed a board and we meet periodically meet with a board(s) of LearningRx franchisees ("Franchisee Advisory Board") to provide us input. Members of the Franchisee Advisory Board will be selected by us from existing Franchisee's (we may also have members voted in by franchisees of various regions across our system. We will give due consideration to all input from the board(s) but we retain the ultimate decision-making authority and responsibility for all of these matters.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, Learningrx has the authority to create, change, dissolve, or merge a Franchisee Advisory Board at its discretion. The members of this board are selected by Learningrx from its existing franchisees. However, Learningrx may also allow franchisees from various regions to vote in members.
While Learningrx will consider input from the Franchisee Advisory Board, it retains the ultimate decision-making authority and responsibility for all matters. This means that while franchisees may have a voice through the advisory board, Learningrx is not obligated to follow their recommendations.
This structure is fairly common in franchising, where franchisors often establish advisory councils to gather feedback from franchisees while maintaining control over strategic decisions. Prospective Learningrx franchisees should understand that participation on the advisory board is not guaranteed and that the franchisor ultimately has the final say.
