What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, the development schedule for Learningrx Centers by the Area Developer is detailed in Schedule A. Section 4.01 states that the Area Developer must open and continuously operate the Centers in accordance with the System, and the Development Schedule set forth in Schedule A.
Schedule A outlines the minimum requirements for the development schedule, including the number of months from the agreement date and the total number of centers to be opened. For example, Schedule A shows a breakdown of the number of months from the date of the agreement and the corresponding total number of Learningrx Centers that must be open for business. The schedule includes targets at twelve, twenty-four, and thirty-six month intervals from the agreement date.
Furthermore, Section 6.01.A indicates that failure to comply with the Development Schedule constitutes a default under the agreement. If the Area Developer fails to meet any twelve-month schedule, Section 6.2 of the agreement will apply, potentially leading to termination of the agreement, loss of territorial exclusivity, reduction in the development territory size, or acceleration of the development schedule, as outlined in Section 6.02.
