- Term. The term of this Addendum will begin on the date this Addendum is executed ("Execution Date") and, unless it is terminated earlier according to this Addendum, will expire at midnight on the three hundred, sixty-fifth (365th) day after the Execution Date ("Initial Term").

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the term of the Satellite Location Addendum begins on the date the addendum is executed. This "Execution Date" marks the start of the agreement. Unless terminated earlier, the addendum will expire at midnight on the 365th day after the Execution Date, which is referred to as the "Initial Term".
This means that a Learningrx franchisee's rights and obligations under the Satellite Location Addendum, such as the right to operate a satellite location and the obligation to pay royalties on its revenue, commence immediately upon signing the addendum. The franchisee can begin operating the satellite location as soon as the addendum is signed, provided they meet all other requirements outlined in the Franchise Agreement and Operations Manual.
Prospective Learningrx franchisees should note that the addendum has a relatively short initial term of one year. Renewal is not guaranteed, as Learningrx is under no obligation to renew the addendum after the initial term. If Learningrx elects to grant a renewal, the franchisee must pay an additional Satellite Location Fee before the start of the Successor Term. This fee is $5,000 if the Satellite Location is outside of the Territory, or $2,400 if the Satellite Location is within the Territory and the Franchisee wishes to have the Satellite Location listed on the LearningRx website.
