In the event that any improvement or addition to the Operations Manual, the System or the Marks is developed by Area Developer and approved in writing by Franchisor, then Area Developer agrees to grant to Franchisor an irrevocable, world-wide, exclusive, royalty free license, with the right to sub-license such improvement or addition.

According to the 2025 Learningrx Franchise Disclosure Document, if an Area Developer creates an improvement or addition to the Operations Manual, the System, or the Marks, and Learningrx approves it in writing, the Area Developer must grant Learningrx an irrevocable, worldwide, exclusive, royalty-free license. This license also includes the right for Learningrx to sub-license the improvement or addition.

In simpler terms, if a Learningrx Area Developer comes up with a new idea that enhances the Learningrx system and Learningrx gives written approval, Learningrx gains complete and free rights to use and share that idea with others, without owing any royalties to the Area Developer.
