What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, Learningrx retains the right to approve all franchise transfers, but will not unreasonably withhold approval. This applies to both the Franchise Agreement and the Area Developer Agreement.
For a Learningrx franchisee, this means that if they decide to sell their franchise, they cannot simply transfer it to anyone. Learningrx has the authority to vet the potential buyer. This is a common practice in franchising, intended to ensure that new franchisees meet Learningrx's standards and are capable of successfully operating the business.
The FDD outlines specific conditions that must be met for Learningrx to approve a transfer. These conditions include ensuring the new franchisee meets Learningrx's qualifications, all monetary obligations to Learningrx are satisfied, there are no outstanding defaults on any agreements, the transfer fee is paid, the purchase agreement is approved by Learningrx, training arrangements are made for the new franchisee, a general release is signed, and the current franchise agreement is signed by the new franchisee.
Additionally, Learningrx has the right of first refusal, meaning they can match any offer made for the Learningrx business. This gives Learningrx the option to buy back the franchise if they choose. These provisions are designed to protect the Learningrx brand and ensure a smooth transition when a franchise changes ownership.
