What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, Learningrx retains the right, in its sole discretion, to choose whether or not to award a franchise to any prospective franchisee. This decision can be made for any reason, and Learningrx can cease discussions regarding the awarding of a franchise at any time. This is regardless of the stage of the franchise award process or the amount of time and money spent by the prospective franchisee.

This clause in the FDD gives Learningrx significant latitude in selecting its franchisees. It means that even if a prospective franchisee meets all the initial qualifications and progresses far into the application process, Learningrx can still decide not to award them a franchise without needing to provide a specific justification.

For a potential Learningrx franchisee, this highlights the importance of making a strong impression and demonstrating a clear fit with the Learningrx brand and values throughout the application process. It also underscores the risk that time and resources invested in pursuing a Learningrx franchise may not ultimately result in the awarding of a franchise. This type of clause is not uncommon in franchise agreements, as franchisors typically want to maintain control over who joins their system to protect their brand and ensure consistent quality.
