What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, there are restrictions on a franchisee's ability to transfer the Area Developer Agreement. Learningrx retains the right to approve all transfers, but the document states that approval will not be unreasonably withheld. This means that while franchisees are not completely barred from transferring their agreement, they must obtain Learningrx's consent first.
To gain approval for a transfer, certain conditions must be met. The new Area Developer must qualify according to Learningrx's standards. All monetary obligations to Learningrx must be satisfied, and the Area Developer Agreement (ADA) must not be in default. A transfer fee must be paid, and the purchase agreement must be approved by Learningrx. Furthermore, arrangements must be made for the new franchisee to undergo training, and both the transferring franchisee and the new franchisee must sign specific releases and agreements.
Learningrx also has a right of first refusal, meaning they can match any offer made for the franchisee's business. This gives Learningrx the option to acquire the business themselves rather than allowing it to be transferred to a third party. These provisions are designed to ensure that any transfer of the Area Developer Agreement maintains the standards and quality of the Learningrx franchise system, while also providing Learningrx with some control over who becomes an Area Developer.
