What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, the proposed franchise registration is or will shortly be on file in Hawaii. This means that Learningrx has taken steps to register its franchise offering in Hawaii, which is a legal requirement in that state before Learningrx can offer or sell franchises there. However, the filing itself does not indicate approval or endorsement by the state.

It is important to note that even though the franchise registration is on file, the Hawaii Franchise Investment Law requires Learningrx to provide a copy of the Franchise Disclosure Document and all proposed agreements to the prospective franchisee at least seven days before any binding agreement is executed or any consideration is paid. This gives the franchisee time to review the documents and seek professional advice.

The FDD also specifies that the document contains only a summary of certain material provisions of the franchise agreement, and the actual contract should be referred to for a complete understanding of all rights, conditions, restrictions, and obligations of both Learningrx and the franchisee. The registered agent in Hawaii authorized to receive service of process is the Commissioner of Securities of the State of Hawaii Department of Commerce and Consumer Affairs.
