What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, Learningrx retains sole ownership of the copyrights to the "Copyrighted Works" used in the operation of a Learningrx Center. While franchisees are granted the right to use this proprietary and copyrighted information in connection with their Learningrx Center, the copyrights themselves remain the property of Learningrx. This includes items such as the Operations Manual, the designs contained in the Marks, the layout of advertising materials, and the content and format of Learningrx's products.
This means that while franchisees can utilize these materials to run their Learningrx centers, they cannot claim ownership or intellectual property rights over them. They also cannot reproduce or distribute these materials outside the scope of their franchise agreement. This is a fairly standard practice in franchising, as it allows the franchisor to maintain control over its brand and intellectual property.
Additionally, certain registered copyrights are owned by LearningRx, Inc., a Colorado corporation, which licenses their use to Learningrx, who then sublicenses them to franchisees. These copyrights are protected for 95 years from the date of first publication or 120 years from the date of creation, whichever is shorter, and are not renewable under current law. The FDD lists several registered copyrights with the United States Copyright Office, including the "2011 Report of LearningRx Training Results," "5 Card Packet," and "LearningRx Operations Manual."
As a prospective franchisee, it is important to understand the scope of usage rights granted and the restrictions imposed on the use of Learningrx's copyrighted materials. Franchisees should also be aware of the process for reporting potential copyright infringements and the franchisor's right to control any related litigation.
