Once established and unless otherwise agreed, the boundaries of your Territory will not be adjusted without our prior written consent regardless of whether the population of your Territory increases or decreases over time.

According to Learningrx's 2025 Franchise Disclosure Document, once a territory is established, its boundaries will not be adjusted without Learningrx's prior written consent. This applies regardless of whether the population within the territory increases or decreases over time. This provision ensures that the territory remains as initially defined unless both Learningrx and the franchisee agree to modify it.
This condition protects the franchisee from having their territory arbitrarily reduced by Learningrx as the population grows, which could negatively impact their business. However, it also means that a franchisee cannot automatically expand their territory if the population increases; any expansion would require Learningrx's approval. This is a fairly standard practice in franchising, as franchisors typically want to control territory boundaries to manage market coverage and avoid conflicts between franchisees.
It is important to note that while Learningrx will not operate or grant franchises for similar businesses within the franchisee's territory as long as minimum revenue requirements are met, the franchisee does not receive an exclusive territory. The franchisee may face competition from other franchisees, company-owned outlets, other distribution channels, or competitive brands controlled by Learningrx. Preexisting licensees offering educational services under different trademarks may also operate within the territory. Therefore, while the territory boundaries are protected from adjustment without written consent, the franchisee should be aware of potential competition from various sources.
