What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the obligations of the Guarantors are independent of the obligations of the Area Developer. This means that Learningrx can pursue legal action against the Guarantors without first pursuing action against the Area Developer.
This independence allows Learningrx to directly target the Guarantors for any breaches or failures in performance by the Area Developer under the Area Developer Agreement. The document specifies that Learningrx can bring separate actions against any or all of the Guarantors, regardless of whether actions are taken against the Area Developer or whether the Area Developer is involved in the action.
For a prospective Learningrx franchisee acting as an Area Developer, this clause highlights the importance of the Guarantor's financial stability and commitment. The Guarantor's obligations are not contingent on the Area Developer's involvement in any legal proceedings, making the Guarantor a direct and independent source of recourse for Learningrx in case of non-compliance or failure to meet obligations under the agreement.
This arrangement provides Learningrx with an additional layer of security, ensuring that the obligations under the Area Developer Agreement are met, regardless of the Area Developer's direct involvement in any legal disputes. It is a standard practice in franchising to have guarantors, but the explicit independence of their obligations is a key point for potential Area Developers and their Guarantors to understand.
