Is LearningRx obligated to inquire into the power or authority of the Area Developer under the LearningRx Guaranty?

Franchisor shall not be obligated to inquire into the power or authority of the Area Developer or its partners or the officers, directors, agents, members or managers acting or purporting to act on the Area Developer's behalf and any obligation or indebtedness made or created in reliance upon the exercise of such power and authority shall be guaranteed hereunder.
Where the Guarantors are corporations, limited liability companies, or partnerships it shall be conclusively presumed that the Guarantors and the shareholders, members, partners, agents, officers and directors acting on their behalf have the express authority to bind such corporations, limited liability companies, or partnerships and that such corporations, limited liability companies, or partnerships have the express power to act as the Guarantors pursuant to this Guaranty and that such action directly promotes the business and is in the interest of such corporations, limited liability companies, or partnerships.

According to the 2025 Learningrx Franchise Disclosure Document, Learningrx is not obligated to inquire into the power or authority of the Area Developer or its partners, officers, directors, agents, members, or managers acting on the Area Developer's behalf. Any obligation or indebtedness created based on the exercise of such power and authority is guaranteed under the Learningrx Guaranty.
For Learningrx franchisees acting as guarantors that are corporations, limited liability companies, or partnerships, it is presumed that they and their shareholders, members, partners, agents, officers, and directors have the express authority to bind such entities. It is also presumed that these entities have the express power to act as guarantors and that such action directly promotes the business and is in the interest of the entities.
This means that Learningrx relies on the representation of the Area Developer and its related parties having the appropriate authority to enter into agreements and does not have a duty to independently verify this authority. This shifts the responsibility to the Area Developer and its guarantors to ensure they have the legal capacity and authorization to fulfill their obligations under the agreement.
