All notices to Area Developer shall be conclusively deemed to have been received by Area Developer upon the delivery or attempted delivery of such notice to Area Developer's address listed herein, or such changed address.

What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, any notices to the Area Developer are considered conclusively received upon delivery or attempted delivery to the Area Developer's address. This address is listed at the beginning of the Area Development Agreement or any changed address that Learningrx has been notified of in writing.

This means that Learningrx only needs to demonstrate that a notice was delivered or that delivery was attempted to the specified address for the notice to be considered officially received. The Area Developer does not necessarily have to sign for or acknowledge receipt for the notice to be valid.

As a prospective Learningrx Area Developer, it is important to ensure that Learningrx always has your current and correct address on file. Any change of address should be promptly communicated in writing to Learningrx to avoid missing important notices or deadlines. Failing to receive a critical notice because of an outdated address could have significant consequences under the Area Development Agreement.
