Our Operations Manual, electronic information and communications, sales and promotional materials, the development and use of our System, standards, specifications, policies, procedures, information, concepts and systems on, knowledge of and experience in the development, operation and franchising of LearningRx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at LearningRx Centers, information concerning product and service sales, operating results, financial performance and other financial data of LearningRx Centers and other related materials are proprietary and confidential ("Confidential Information") and are considered to be our property to be used by you only as described in the Franchise Agreement or the Operations Manual. Where appropriate, certain information has also been identified as trade secrets ("Trade Secrets"). You must maintain the confidentiality of our Confidential Information and Trade Secrets and adopt reasonable procedures to prevent unauthorized disclosure of our Trade Secrets and Confidential Information.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, knowledge of and experience in the development, operation, and franchising of Learningrx Centers is considered Confidential Information. The FDD specifies that Learningrx's Operations Manual, electronic information and communications, sales and promotional materials, the development and use of their System, standards, specifications, policies, procedures, information, concepts and systems, knowledge of and experience in the development, operation and franchising of Learningrx Centers, formulations for and packaging of products, and training and techniques used to provide services sold at Learningrx Centers, information concerning product and service sales, operating results, financial performance and other financial data of Learningrx Centers and other related materials are proprietary and confidential. This information is considered Learningrx's property and can only be used as described in the Franchise Agreement or the Operations Manual.
For a prospective Learningrx franchisee, this means that they will have access to a wealth of proprietary information that is crucial for operating a successful center. However, it also means that they are legally obligated to protect this information and prevent its unauthorized disclosure. Franchisees must maintain the confidentiality of Learningrx's Confidential Information and Trade Secrets and adopt reasonable procedures to prevent unauthorized disclosure.
This obligation extends beyond the term of the franchise agreement. Even after the agreement expires or is terminated, the franchisee must not reveal any of Learningrx's confidential information to another person or use it for any other person or business. This underscores the importance of understanding and adhering to the confidentiality terms outlined in the Franchise Agreement and related documents. All persons affiliated with the franchisee must sign Learningrx's Confidentiality and Covenant Not to Compete Agreement.
