All payments to Franchisor and dollar amounts stated in this Agreement are in U.S. dollars unless otherwise expressed. Franchisor will not require Franchisee to deposit all Franchisee's revenue into an account that Franchisor controls, or from which withdrawals may be made only with Franchisor's consent, except to secure a loan or financing arrangement by Franchisor.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the initial franchise fee is generally non-refundable. The standard Initial Franchise Fee for a Learningrx franchise is $45,000 for a Standard Franchise and $30,000 for a Micro Franchise. The FDD states that this fee is fully earned upon signing the agreement and is non-refundable under any circumstances. This means that once the franchise agreement is signed, the franchisee cannot get this fee back, regardless of whether they proceed with opening the Learningrx center.
In addition to the initial franchise fee, Learningrx franchisees must also pay an Initial Training and Materials Fee of $10,000 upon signing the agreement, which is also non-refundable. Similarly, the Satellite Location Fee of $5,000 for locations outside the territory is non-refundable once the addendum is signed. There are also Transfer Fees of $10,000 (or $5,000 for transfers to another Learningrx franchisee) and these are also non-refundable.
The non-refundable nature of these fees is a standard practice in franchising, as it compensates Learningrx for the initial costs and efforts in evaluating and setting up the franchisee. Prospective franchisees should carefully consider their financial situation and conduct thorough due diligence before signing the franchise agreement, as these fees represent a significant upfront investment that cannot be recovered if they decide not to proceed with the franchise.
