Your Territory does not extend to, and you may not advertise independently on, the Internet or World Wide Web. We will maintain LearningRx Center Web pages, which will include information regarding your Center.
If we engage in electronic commerce through the Internet or other computer network site or sell through any other alternative distribution channel, and we receive orders for any System products or services calling for delivery or performance in your Territory, then we will offer the order to you at the price we establish. If you choose not to fulfill the order or are unable to do so, then we, one of your affiliates or a third-party we designate (including another franchisee) may fulfill the order, and you will be entitled to no compensation in connection with this.

What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, Learningrx will maintain Learningrx Center Web pages that will include information regarding a franchisee's center. However, franchisees cannot independently advertise on the Internet or World Wide Web. This means Learningrx controls the online presence and messaging for individual franchise locations.
This approach is common in franchising, allowing Learningrx to maintain brand consistency and manage online marketing efforts centrally. While franchisees benefit from a professionally managed web presence, they relinquish control over their local online advertising. This can be a benefit by reducing the marketing burden on the franchisee, but it also means they cannot implement independent online marketing strategies without Learningrx's approval.
If Learningrx engages in electronic commerce and receives orders for system products or services in a franchisee's territory, Learningrx will offer the order to the franchisee at a price Learningrx establishes. If the franchisee declines or is unable to fulfill the order, Learningrx or a third party may fulfill it, and the franchisee will not receive compensation. This highlights Learningrx's control over online sales and order fulfillment, which may impact a franchisee's revenue potential and operational responsibilities.
