What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, failure to comply with the transfer provisions in the Area Developer Agreement can result in termination of the agreement.

Specifically, the FDD states that Learningrx can terminate the Area Developer Agreement if the developer fails to comply with the provisions on transfer contained in the agreement. This is listed as a non-curable default, meaning Learningrx does not have to give the Area Developer an opportunity to correct the failure before terminating the agreement.

This provision highlights the importance of adhering to the transfer requirements outlined in Section 7.02 and 7.03 of the Area Developer Agreement. Prospective Area Developers should carefully review these sections to understand the conditions for transfer, including obtaining Learningrx's approval, satisfying all monetary obligations, ensuring the agreement is not in default, paying the transfer fee, securing an approved purchase agreement, arranging training for the new developer, and obtaining necessary releases and signatures.
