Are Learningrx franchisees allowed to use the Copyrighted Works?

According to Learningrx's 2025 Franchise Disclosure Document, Learningrx grants franchisees the right to use its proprietary and copyrighted information, referred to as "Copyrighted Works," in connection with the operation of their Learningrx center. However, these copyrights remain the sole property of Learningrx. This means that while franchisees can utilize these materials, they do not own them and must adhere to the guidelines set forth by Learningrx for their use.

The FDD also lists several registered copyrights owned by Learningrx, Inc., which Learningrx, Inc. licenses to Learningrx and allows Learningrx to sublicense them to its franchisees. These include materials such as the "2011 Report of LearningRx Training Results," "5 Card Packet," "The Purpose Directed Business," and various workbooks and manuals related to their cognitive training programs. The copyright protection for these materials extends for 95 years from the date of first publication or 120 years from the date of creation, whichever is shorter.

Learningrx also emphasizes the importance of protecting its Copyrighted Works, Confidential Information, and Trade Secrets. Franchisees are required to notify Learningrx within three days if they become aware of any unauthorized use or challenges to these proprietary assets. Learningrx retains the sole right to take action to protect these rights, including legal proceedings, and franchisees must cooperate fully in these efforts. Franchisees are prohibited from contesting Learningrx's rights to its Copyrighted Works, Confidential Information, or Trade Secrets and must maintain the confidentiality of this information, as outlined in the Franchise Agreement and Operations Manual.
