f the term of this Agreement, Franchisee must submit to Franchisor a certified statement listing and describing all performance-based lawsuits or potential claims threatened or actually filed against Franchisee, its owners, managers, employees or agents in connection with the operation of the Business, or if no such lawsuits or claims are threatened or filed during that year, a certified statement to that effect.

  • 12.2 System Compliance. Franchisee must comply with the System, the Operations Manual, systems, procedures and forms, as in effect from time to time. All mandatory, specifications, standards, and operating procedures prescribed by Franchisor in the Operations Manual, or otherwise communicated to Franchisee in writing, shall constitute provisions of this Agreement as if fully set forth herein. Accordingly, all references in this Agreement to Franchisee's obligations under this Agreement, including to the Center, equipment, procedures, products and materials, shall include such mandatory specifications,

standards, and operating procedures. Franchisor reserves the right to require Franchisee to add additional products or concepts to the Business in the future, at Franchisee's expense.

What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, franchisees must comply with the Learningrx system, the Operations Manual, and all mandatory specifications, standards, and operating procedures. These standards are those prescribed by Learningrx in the Operations Manual or otherwise communicated in writing. These specifications are considered provisions of the Franchise Agreement. Learningrx also reserves the right to require franchisees to add additional products or concepts to the business in the future, and this would be at the franchisee's expense.

Learningrx franchisees are also obligated to adhere to changes regarding the brand's Marks. Learningrx may add, modify, or discontinue any Marks used under the system. Furthermore, Learningrx franchisees are required to use online contact management and accounting software as mandated by Learningrx in the Operations Manual and pay the associated Technology Fees. Learningrx retains the right to change the required technology, computer information processing, and communication systems and may adjust the Technology Fees, with reasonable notice to the franchisee. These stipulations highlight the franchisee's responsibility to stay current with Learningrx's evolving operational and branding requirements, potentially incurring additional costs to meet these standards.
