What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, a franchisee will not receive an exclusive or protected territory for its Satellite Location. The site of the Satellite Location may be within the territory granted to the franchisee under the Franchise Agreement, or it may be outside of the territory, provided that the site is not within an existing franchisee's territory granted pursuant to a valid franchise agreement. However, Learningrx retains the right to grant a territory to another franchisee which includes the Satellite Location site at any time.
Learningrx and its affiliates reserve all rights not specifically granted to the franchisee, including the right to own, operate, or license others to operate a Learningrx Training Center in any location, even if that location creates a territory which encompasses the franchisee's Satellite Location site. This means that while a franchisee can operate a Satellite Location, Learningrx can still establish other centers nearby, even within what might seem like a natural service area for the Satellite Location.
This lack of territorial protection for Satellite Locations is a significant consideration for prospective franchisees. It means that Learningrx could potentially license a new franchise location that directly competes with the Satellite Location, impacting its revenue and customer base. The franchisee has no recourse or protection against such actions, as Learningrx explicitly reserves the right to do so. This contrasts with the territory granted for the main Learningrx center, which provides some level of protection against encroachment from other Learningrx centers.
Given this, a prospective franchisee should carefully evaluate the potential risks associated with operating a Satellite Location without territorial exclusivity.
