What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, a franchisee must obtain Learningrx's prior written approval before using any printed, audio, visual, Internet, electronic media, or multimedia material bearing any of Learningrx's marks in advertising. This requirement does not apply to materials supplied directly by Learningrx. The franchisee is also required to indicate that the Learningrx center is independently owned and operated.

This stipulation ensures that all advertising and marketing efforts align with Learningrx's brand standards and messaging. By requiring prior approval, Learningrx maintains control over how its trademarks are represented in the marketplace, protecting brand consistency and reputation. This is a common practice in franchising, where brand uniformity is crucial for maintaining customer recognition and trust.

Furthermore, Learningrx retains the right to add, modify, or discontinue any marks used within the system, and franchisees must comply with these changes at their own expense within a reasonable timeframe after receiving written notification. This allows Learningrx to adapt its branding to market trends and maintain a consistent image. Franchisees must also adhere to the copyright guidelines specified in the Operations Manual.

In addition to the above, Learningrx will provide franchisees with reasonable amounts of advertising and marketing materials, including video and audiotapes, multimedia, print-ready advertising materials, posters, and banners. Franchisees are responsible for purchasing any additional copies of these materials. If a franchisee develops their own advertising and marketing materials, Learningrx must approve them in writing before use. Learningrx has 15 days to approve or disapprove submitted materials; if no response is received within this timeframe, the materials are deemed disapproved. Learningrx also reserves the right to use advertising developed by a franchisee and provide it to other franchisees without cost.
