Does the Learningrx franchisee have to maintain a physical location for the center at all times?

According to the 2025 Learningrx Franchise Disclosure Document, a franchisee must maintain a physical location for their center at all times. The franchisee can only operate the franchised business at the premises designated in Attachment I of the Franchise Agreement. If a franchisee wants to relocate, they must get prior written approval from Learningrx, which Learningrx may withhold for any reason.

Learningrx offers limited advice and assistance in site selection, but the franchisee is ultimately responsible for locating a site and negotiating the lease. Learningrx will analyze the location based on factors like population density, traffic patterns, and proximity to other Learningrx centers. The location should be close to the center of the territory, and Learningrx has the right to reject any location, although consent will not be unreasonably withheld.

If the franchisee requests to relocate their center, Learningrx's approval is required and can be granted or denied for any reason. Relocation is subject to the site selection and lease provisions in the Franchise Agreement and Operations Manual. There is no relocation fee for the first relocation request within the initial or successor term. However, Learningrx charges a $250 relocation fee for the second relocation and $500 for the third relocation within the initial or any successor term. The franchisee bears the sole expense of any relocation. Learningrx's approval for relocation will consider factors such as population density, income levels, general location guidelines, proximity to other Learningrx centers, and the time required for relocation.
