Is a Learningrx franchisee granted an exclusive or protected territory for its Satellite Location?

According to Learningrx's 2025 Franchise Disclosure Document, a franchisee will not receive an exclusive or protected territory for its Satellite Location. The site of the Satellite Location may be within the territory granted to the franchisee under the Franchise Agreement, or it may be outside of the territory, as long as the site is not within an existing franchisee's territory granted pursuant to a valid franchise agreement. Learningrx retains the right to grant a territory to another franchisee which includes the Satellite Location site at any time.

Learningrx and its affiliates reserve all rights not specifically granted to the franchisee, including the right to own, operate, or license others to operate a Learningrx Training Center in any location, even if that location creates a territory which encompasses the franchisee's Satellite Location site. This means that even if a franchisee establishes a Satellite Location, Learningrx can still establish another franchise nearby, potentially impacting the Satellite Location's business.

This lack of exclusive territory for Satellite Locations is a significant consideration for prospective franchisees. It means that the franchisee's investment in a Satellite Location could be subject to competition from other Learningrx centers, including those owned by Learningrx itself or other franchisees. The franchisee bears the risk of potential revenue reduction due to this competition. Therefore, it is crucial for prospective franchisees to carefully evaluate the potential market and competition before investing in a Satellite Location.
