What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, the standard Confidentiality & Covenant Not to Compete Agreement is included as Attachment IX to the Franchise Agreement. If the franchisee is an entity, certain individuals such as members, shareholders, officers, directors, partners, their spouses, managers, guarantors, and employees with access to confidential information must sign this agreement. If the franchisee is not an entity, the spouse of the franchisee, managers, guarantors, their spouses, and employees with access to confidential information are required to sign.

Learningrx requires these agreements to protect its trade secrets and confidential information. The agreement ensures that individuals associated with the franchisee are legally bound to maintain confidentiality and not engage in activities that could harm Learningrx's business interests. This is a common practice in franchising to safeguard the franchisor's proprietary information and maintain a competitive advantage.

Prospective Learningrx franchisees should carefully review Attachment IX and understand the obligations it imposes on themselves and related parties. They should also ensure that all required individuals sign the agreement and that copies are delivered to Learningrx within one week of execution, as stipulated in the FDD. Failure to comply with these requirements could potentially lead to legal or contractual issues with Learningrx.
