What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the Area Developer Agreement outlines the terms for renewal. Section 2.02 states that Learningrx, at its sole discretion, may allow the Area Developer to renew the agreement for an additional term. However, this is contingent upon the Area Developer not being in default of their obligations under the agreement or any other agreement with Learningrx. Additionally, both parties must agree in writing to extend the Development Schedule. This indicates that renewal is not guaranteed and is subject to Learningrx's approval and the franchisee's compliance with the agreement terms.
For a Satellite Location, Learningrx is under no obligation to renew the addendum after the initial term, and the franchisee does not have the right to unilaterally renew the addendum. Learningrx may choose to grant the franchisee the right to extend the addendum for additional 365-day periods, termed "Successor Term," after the current term expires. If the franchisee chooses to exercise their right to a Successor Term, they must pay Learningrx an additional Satellite Location Fee before the first day of that Successor Term.
These renewal terms are fairly typical in franchising, where the franchisor retains control over who continues to represent their brand. A prospective Learningrx franchisee should carefully consider these renewal conditions and discuss with Learningrx what specific factors they consider when deciding whether to grant a renewal. Understanding these factors can help a franchisee maintain a good standing and increase their chances of securing a renewal.
