ment courses, programs or products, (b) brain training or cognitive training courses, programs or products and (c) reading training courses, programs, or products ("Business"), known as "LearningRx Training Centers"; and,
WHEREAS, Franchisor has granted to Franchisee the limited right to develop a LearningRx Business using the System, the Licensed Marks and the Trade Secrets, pursuant to a Franchise Agreement entered into on the ____day of _________, 20__ ("Franchise Agreement"), by and between Franchisor and Franchisee; and,
WHEREAS, the System includes, but is not limited to, certain trade names, service marks, trademarks, logos, emblems and indicia of origin ("Licensed Marks"), including, but not limited to, the marks "LearningRx" and other trade names, service marks, trademarks, logos, insignia, slogans, emblems, designs and commercial symbols as Franchisor may develop in the future to identify for the public the source of services and products marketed under such marks and under the System and representing the System's high standards of quality, appearance and service and distinctive marketing, uniform standards, specifications and procedures for performing services, merchandising, management and financial control; operations; quality and uniformity of services offered; training and assistance; and advertising, marketing and promotional programs; all of which may be changed, improved and further developed by Franchisor from time to time and are used by Franchisor in connection with the operation of the System ("Trade Secrets");

According to the 2025 Learningrx Franchise Disclosure Document, the 'Licensed Marks' used in the Learningrx system include, but are not limited to, "LearningRx" along with other trade names, service marks, trademarks, logos, insignia, slogans, emblems, designs and commercial symbols that Learningrx may develop in the future. These marks are intended to identify the source of services and products marketed under the Learningrx system and represent the system's standards for quality, appearance, and service.
Learningrx identifies several specific authorized marks that franchisees must use. These include "LEARNINGRX," "LEARNINGRX CENTER," "MATHRX", "THINKRX," "READRX," "COMPREHENDRX," "LIFTOFF," AND "LEARNINGRX BRAIN TRAINING CENTER." Franchisees are restricted to using only these marks, or any other marks that Learningrx may specify, for identifying, marketing, promoting, or operating their Learningrx Business.
Learningrx retains the right to add, modify, or discontinue any marks used under the system. If a franchisee cannot lawfully use the specified marks in their territory, they must obtain written approval from Learningrx to use alternative marks. This ensures that all marketing and branding efforts remain consistent with Learningrx's overall strategy and legal requirements.
