What document must Learningrx and the Area Developer execute to reflect a change to the Development Schedule when additional Centers are established?

Learningrx Franchise · 2025 FDD

Answer from 2025 FDD Document

The Area Developer understands that, if there is an increased public demand for the products and services offered by Franchisor due to an increase in the number of individuals in the Development Territory, Franchisor will expect the Area Developer to establish additional Centers within the Development Territory. While Franchisor will not require the Area Developer to establish such additional Centers, Franchisor will strongly encourage Area Developer to do so. Any additional Center shall be governed by Franchisor's then-current form of individual franchise agreement and Franchisor and Area Developer shall execute an addendum to this Agreement reflecting the change to the Development Schedule.

What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, if an Area Developer is expected to establish additional Learningrx Centers due to increased public demand, Learningrx will strongly encourage them to do so. While Learningrx will not require the Area Developer to establish such additional centers, if the Area Developer agrees to do so, Learningrx and the Area Developer must execute an addendum to the Area Development Agreement. This addendum will reflect the change to the Development Schedule.

This addendum ensures that both parties are in agreement regarding the revised Development Schedule, which is crucial for managing expectations and obligations. The Development Schedule outlines the timeline and number of Centers the Area Developer is expected to open within a specific period. By formally documenting any changes, Learningrx and the Area Developer can avoid potential disputes and maintain a clear understanding of their respective responsibilities.

For a prospective Learningrx Area Developer, this means that while there is no obligation to open additional centers beyond the initial Development Schedule, there is an opportunity to expand if the market demand supports it. However, any such expansion must be formalized through a written addendum to the Area Development Agreement, ensuring that both Learningrx and the Area Developer are aligned on the revised development plan.
