If you sign an Area Development Agreement, you will pay us a nonrefundable, lump sum area development fee ("Area Development Fee") equal to 35% of our then-current Initial Franchise Fee and Initial Training and Materials Fee multiplied by the number of additional Centers granted pursuant to the Area Development Agreement, after your initial Center. At the time you sign each franchise agreement for each additional Center granted pursuant to the Area Development Agreement, you will be required to pay us a non-refundable development franchise fee ("Development Franchise Fee") equal to 35% of our then-current Initial Franchise Fee and Initial Training and Materials Fee.

What This Means (2025 FDD)
According to the 2025 Learningrx Franchise Disclosure Document, the Development Franchise Fee is non-refundable. Specifically, if a franchisee signs an Area Development Agreement to develop additional Learningrx centers, they must pay a Development Franchise Fee for each additional center. This fee is equal to 35% of Learningrx's then-current Initial Franchise Fee and Initial Training and Materials Fee.
The FDD states that the Area Development Fee is nonrefundable. Item 5 also states that the Development Franchise Fee is non-refundable. This means that once the agreement is signed and the fee is paid, the franchisee will not receive a refund under any circumstances, regardless of whether they ultimately open the additional centers.
This non-refundable policy is a standard practice in franchising, as it compensates the franchisor for granting the development rights and providing initial support. Prospective Learningrx franchisees should carefully consider their ability to meet the development schedule and financial obligations before entering into an Area Development Agreement, as failure to do so will not result in a refund of the Development Franchise Fee.
