What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, 'Trade Secrets' are considered proprietary and confidential information. While the FDD does not provide a specific definition of 'Trade Secrets,' it does state that certain information has been identified as such.
The Learningrx FDD specifies that the franchisee must maintain the confidentiality of Learningrx's Confidential Information and Trade Secrets. Furthermore, the franchisee is required to adopt reasonable procedures to prevent unauthorized disclosure of these Trade Secrets and Confidential Information. This implies that Learningrx considers its Trade Secrets to be a valuable asset that needs protection.
The franchisor will disclose parts of the Confidential Information and Trade Secrets to the franchisee as deemed necessary for the development of the Learningrx Center during training and ongoing support. The franchisee may also learn or obtain additional Confidential Information and Trade Secrets during the term of the Franchise Agreement. The disclosure of this information is conditional upon the franchisee, its owners, and employees agreeing to maintain the information in confidence by entering into a confidentiality agreement that Learningrx can enforce.
In practical terms, this means a Learningrx franchisee must be vigilant in protecting any information designated as a Trade Secret, as its unauthorized disclosure could have legal and financial repercussions. The franchisee should seek clarification from Learningrx regarding what specific information is classified as a Trade Secret to ensure compliance with the Franchise Agreement.
