The information contained in the Operations Manual is proprietary and is protected by copyright and other laws. The Operations Manual and the limitations of the use of it by you and your employees are described in Item 11 and the Franchise Agreement. The designs contained in the Marks, the layout of our advertising materials, the content and format of our products, as well as any other writings, recordings in print or electronic form are also protected by copyright and other laws. Although we have not filed an application for copyright registration for the Operations Manual, the Marks, the advertising materials, the content and format of our products (other than as specifically described below), or any other writings and recordings, we claim common law and federal copyrights in these items. We grant you the right to use this proprietary and copyrighted information ("Copyrighted Works") in connection with your operation of your LearningRx Center, but these copyrights remain our sole property.

According to Learningrx's 2025 Franchise Disclosure Document, 'Copyrighted Works' refers to the proprietary and copyrighted information that Learningrx grants franchisees the right to use in connection with the operation of their Learningrx center. This includes the information contained in the Operations Manual, which is protected by copyright and other laws. It also encompasses the designs contained in the Marks, the layout of advertising materials, and the content and format of Learningrx's products, as well as any other writings or recordings in print or electronic form. Although Learningrx has not filed for copyright registration for all of these items, they claim common law and federal copyrights in them. These copyrights remain the sole property of Learningrx.
For a prospective Learningrx franchisee, this means that while you have the right to use these materials to operate your center, you do not own them. You are essentially licensing the use of these copyrighted materials from Learningrx. This is a common arrangement in franchising, where the franchisor retains ownership of the intellectual property and grants franchisees the right to use it under the terms of the franchise agreement.
The FDD also states that there are no effective determinations of the United States Copyright Office or any court regarding any Copyrighted Works, nor are there any proceedings pending, and there are no currently effective agreements between Learningrx and third parties pertaining to the Copyrighted Works that will or may significantly limit your use of their Copyrighted Works. This suggests that Learningrx is not aware of any current legal challenges or limitations on its copyrights that would affect a franchisee's ability to use the materials. However, franchisees are obligated to notify Learningrx within three days if they learn of any potential infringement or challenges to the use of the Copyrighted Works.
