What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, Section 6.01 of the Area Developer Agreement outlines specific non-curable defaults that can lead to termination. These include failing to comply with the Development Schedule, failing to perform any obligations under the Area Developer Agreement or any individual Franchise Agreement, the termination of any individual Franchise Agreement, ceasing to be a franchisee in good standing, or failing to comply with the provisions on transfer contained in the agreement.

For a prospective Learningrx Area Developer, understanding these non-curable defaults is crucial. Unlike curable defaults, which provide an opportunity to rectify the issue, these defaults can result in immediate termination of the agreement. This means that adherence to the Development Schedule, fulfillment of all contractual obligations, and maintaining good standing as a franchisee are critical for avoiding termination.

The implications of these terms are significant. For instance, failure to meet the milestones outlined in the Development Schedule could lead to termination, even if the Area Developer is otherwise performing well. Similarly, if any individual Learningrx Franchise Agreement held by the Area Developer or their affiliates is terminated for any reason, the Area Developer Agreement can also be terminated. This interconnectedness highlights the importance of ensuring compliance and success across all franchise locations associated with the Area Developer.

Furthermore, the inability to cure these defaults means that Learningrx has the right to terminate the agreement immediately upon written notice. This underscores the need for careful planning, diligent execution, and proactive management to prevent any of these non-curable defaults from occurring. Prospective Area Developers should thoroughly review Section 6.01 of the Area Developer Agreement to fully understand their obligations and the potential consequences of non-compliance.
