What claims does the Spousal Affiliate waive regarding employment status with Learningrx?

Learningrx Franchise · 2025 FDD

Answer from 2025 FDD Document

    1. Spousal Affiliates acknowledge and agree that Spousal Affiliates are signing this Agreement as a condition for receiving access to, and the ability to use, Franchisor's confidential information in the performance of Spousal Affiliates' duties and obligations as an owner, spouse, employee or contractor of Franchisee and that the execution of this Agreement will not be deemed to create an employment relationship between Franchisor and Spousal Affiliates and Franchisor. Spousal Affiliates hereby waive, to the greatest extent permitted by federal law and the law of the state or states in which Spousal Affiliates reside and are employed by Franchisee, any claim that Spousal Affiliates may have to be deemed to be an employee of Franchisor by virtue of signing this Agreement.

What This Means (2025 FDD)

According to Learningrx's 2025 Franchise Disclosure Document, a Spousal Affiliate acknowledges that signing the agreement to access and use Learningrx's confidential information does not create an employment relationship between the Spousal Affiliate and Learningrx. The Spousal Affiliate waives any claim, to the extent permitted by law, to be deemed an employee of Learningrx simply by signing the agreement. This waiver applies under both federal law and the laws of the state where the Spousal Affiliate resides and is employed by the Learningrx franchisee.

This means that Spousal Affiliates, who are often closely involved in the Learningrx franchise operations, are explicitly prevented from claiming employee status with Learningrx itself. This is likely to protect Learningrx from potential liabilities and obligations that would arise from having a direct employer-employee relationship with individuals working at the franchise level.

For a prospective Learningrx franchisee, this clause highlights the importance of understanding the legal relationships within the franchise system. The franchisee is the employer of the Spousal Affiliate, not Learningrx. Therefore, the franchisee is responsible for all employment-related obligations, such as wages, benefits, and compliance with labor laws, concerning the Spousal Affiliate. This arrangement clarifies the roles and responsibilities of each party involved, ensuring that Learningrx maintains its position as the franchisor without direct employment liabilities at the franchise level.

It is important for potential franchisees to consult with legal counsel to fully understand the implications of this waiver and ensure compliance with all applicable employment laws when engaging Spousal Affiliates in their Learningrx business.
