The information contained in the Operations Manual is proprietary and is protected by copyright and other laws. The Operations Manual and the limitations of the use of it by you and your employees are described in Item 11 and the Franchise Agreement. The designs contained in the Marks, the layout of our advertising materials, the content and format of our products, as well as any other writings, recordings in print or electronic form are also protected by copyright and other laws. Although we have not filed an application for copyright registration for the Operations Manual, the Marks, the advertising materials, the content and format of our products (other than as specifically described below), or any other writings and recordings, we claim common law and federal copyrights in these items. We grant you the right to use this proprietary and copyrighted information ("Copyrighted Works") in connection with your operation of your LearningRx Center, but these copyrights remain our sole property.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, Learningrx claims common law and federal copyrights in its advertising materials. While Learningrx has not filed for copyright registration for its advertising materials, among other items, it asserts ownership through common law and federal copyright claims.
This means that Learningrx franchisees are granted the right to use the company's advertising materials, but Learningrx retains sole ownership of the copyrights. Franchisees must adhere to the guidelines and restrictions set forth by Learningrx regarding the use of these materials.
The FDD also states that franchisees must notify Learningrx within three days if they become aware of any unauthorized use of similar language, images, or recordings that resemble Learningrx's copyrighted works. Learningrx will then take action to protect its rights, but it is not obligated to do so. Franchisees are prohibited from contesting Learningrx's rights to its copyrighted works and must cooperate with Learningrx in any legal proceedings related to these copyrights.
