What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, general notices regarding the franchise agreement must be in writing. Specifically, Section 13.05 states that any notice required by the agreement must be written and sent via registered or certified mail with a return receipt requested, unless written notice is given of a change of address. This requirement ensures a clear record of communication between Learningrx and the area developer.

For franchisees in Ohio, the FDD includes a specific cancellation clause. Purchasers in Ohio have the right to cancel the franchise agreement prior to midnight of the fifth business day after signing the agreement. The FDD directs the purchaser to see the attached notice of cancellation for an explanation of this right.

While the Ohio addendum refers to a 'notice of cancellation,' it does not explicitly state that the cancellation notice from the purchaser must be in writing. However, given the general notice requirement outlined in Section 13.05, it would be prudent for a Learningrx franchisee to provide any cancellation notice in writing to ensure compliance with the agreement and to maintain a clear record of the communication. Prospective franchisees should clarify this requirement with Learningrx before signing the agreement.
