- 6.7 Goodwill. All usage of the Marks by Franchisee and any goodwill associated with the Marks, including any goodwill that might be deemed to have arisen through Franchisee's operation of the Business or other activities, will inure to the exclusive benefit of Franchisor.

According to Learningrx's 2025 Franchise Disclosure Document, the goodwill associated with the Marks inures to the exclusive benefit of Learningrx. This means that while franchisees use Learningrx's trademarks and build recognition within their local markets, the ultimate value of that brand recognition belongs solely to the franchisor, Learningrx.
This has significant implications for a prospective Learningrx franchisee. Even if a franchisee's efforts significantly increase the brand's reputation and value in their territory, they will not directly benefit from this increased goodwill if they sell their franchise or when the franchise agreement ends. The goodwill remains an asset of Learningrx.
This arrangement is typical in franchising. It allows Learningrx to maintain control over its brand and ensure consistent quality and standards across all franchise locations. While franchisees benefit from using a recognized brand, the long-term brand equity accrues to the franchisor. Franchisees are required to use the Marks as the sole identification of the Business but must also identify itself as the independent owner of the Business in the manner prescribed by Learningrx. All Marks must be displayed in the manner prescribed by Learningrx.
