How is the Area Development Fee calculated for a Learningrx franchise?

After you have opened your first Center, or if you possess the necessary business operational skills and financial resources, you may request one or more Development Territories in which to have the rights to develop additional Centers within a prescribed Development Schedule pursuant to an Area Development Agreement. If you sign an Area Development Agreement, you will pay us a nonrefundable, lump sum area development fee ("Area Development Fee") equal to 35% of our then-current Initial Franchise Fee and Initial Training and Materials Fee multiplied by the number of additional Centers granted pursuant to the Area Development Agreement, after your initial Center. At the time you sign each franchise agreement for each additional Center granted pursuant to the Area Development Agreement, you will be required to pay us a non-refundable development franchise fee ("Development Franchise Fee") equal to 35% of our then-current Initial Franchise Fee and Initial Training and Materials Fee.
If you enter into an Area Development Agreement for one or more Development Territories, you must open at least one new Center in each Development Territory every 12 months.

What This Means (2025 FDD)
According to Learningrx's 2025 Franchise Disclosure Document, the Area Development Fee is a nonrefundable, lump sum payment calculated as 35% of the then-current Initial Franchise Fee and Initial Training and Materials Fee. This total is then multiplied by the number of additional Learningrx Centers the franchisee is granted the right to develop under the Area Development Agreement, excluding the initial Center. This fee compensates Learningrx for granting the area developer the rights to expand within a specific territory.
For example, if the Initial Franchise Fee is $20,000 and the Initial Training and Materials Fee is $10,000, the base amount for the calculation would be $30,000. Thirty-five percent of this amount is $10,500. If the Area Development Agreement grants the franchisee the right to develop 3 additional Learningrx Centers, the Area Development Fee would be $10,500 multiplied by 3, totaling $31,500.
In addition to the Area Development Fee, the franchisee must also pay a Development Franchise Fee when signing the franchise agreement for each additional Learningrx Center. This Development Franchise Fee is also equal to 35% of the then-current Initial Franchise Fee and Initial Training and Materials Fee. The Learningrx franchisee must open at least one new Center in each Development Territory every 12 months.
It is important to note that the Area Development Fee is non-refundable, even if the franchisee fails to open all the Learningrx Centers they committed to developing under the Area Development Agreement. This highlights the importance of carefully considering the development schedule and financial capabilities before entering into an Area Development Agreement with Learningrx.
