What This Means (2025 FDD)

According to the 2025 Learningrx Franchise Disclosure Document, the Area Developer must forward the signed 'CONFIDENTIALITY and COVENANT NOT TO COMPETE AGREEMENT' to the Franchisor. This agreement is obtained from individuals defined as "Franchisee Affiliates" in the Franchise Agreement. A copy of this agreement is attached to the Franchise Agreement as Attachment VIII.

This requirement ensures that Learningrx maintains control over its confidential information and protects its business interests. By requiring franchisee affiliates to sign and adhere to the non-compete agreement, Learningrx aims to prevent the dissemination of trade secrets and the potential diversion of business to competitors. The franchisor's need to receive these documents promptly underscores the importance of these protections.

For a prospective Learningrx Area Developer, this means they have a responsibility to ensure that all relevant parties execute the agreement and that it is promptly sent to Learningrx. Failure to do so could potentially lead to breaches of confidentiality or competition, which could have legal and financial repercussions for both the Area Developer and the individuals who failed to sign the agreement.
